GOVERNANCE FRAMEWORK

Quantum Insurance Ltd is led by a committed and unitary Board, which is collectively responsible for the overall leadership and oversight of the organization. Quantum recognises that adhering to good governance principles is not merely compliance with a set of rules and regulations, but entails aiming for the highest standards of corporate governance with a culture of best practice as a performance benchmark.

Company has developed and will continue to develop rules relating to corporate governance to promote its effective functioning and that of its committees, to create value for its shareholders while having regard to all its other stakeholders, and to set forth a common set of expectations as to how the board of directors, its various committees, individual directors, and management should perform their functions. The company operates within a well-established governance framework. Through this framework, the Board sets out the strategic direction and rules relating to corporate governance to promote its effective functioning and that of its committees, to create value for its shareholders while having regard to all its other stakeholders, and to set forth a common set of expectations as to how the board of directors, its various committees, individual directors, and management should perform their functions.

Resident Director, Chairperson of the Board of Directors

Patrick Bouic, aged 56, completed a Bachelor’s degree in Commerce in 1988 and qualified as an Associate of the Chartered Insurance Institute in 1991. He then joined City Brokers Ltd and took over its leadership, while acting as senior advisor on insurance and risk related matters to most major and many medium local enterprises. Patrick retired from insurance broking in 2019, and in 2022 set up a dedicated risk research advisory and consultancy operation servicing a large regional Hotel group as well as a large regional multi-sector group of companies. Over his 34 years of local and regional insurance industry career, Patrick has gained experience in all types of insurances and has always promoted the importance of focusing on the customer’s journey.

Mohamed Iqbal Rajahbalee

Executive Director and Chair of the Audit and Risk Management Committee

Mohamed Iqbal Rajahbalee, Independent Non-executive Director Iqbal Rajahbalee was appointed as an Independent Non-Executive Director on 15 October 2014 at Quantum Insurance Ltd. He served for 12 years at the Attorney General’s Office and was acting as Assistant Solicitor General when he left to set up the offshore business regulatory authority, Mauritius Offshore Business Activities Authority (MOBAA), in 1992. He is a Barrister by profession and is the Head of Chambers at BLC Chambers. He actively participated in the setting up of the Financial Services Commission of Mauritius to act as an integrated non-bank financial regulatory body and was appointed as its first Chief Executive. Iqbal holds a Master’s Degree in Law (LLM) from the London School of Economics and Political Science, London, and was admitted to the Middle Temple Inn of Court, London, on his qualification at the London Council of Legal Education. He was elevated to the rank of Senior Counsel and practises at the Mauritian Bar mainly in the area of corporate and commercial law.

Executive Director and Chair of the Audit and Risk Management Committee

Alfred Joseph Gerard Robert Alain Rey, Independent Non-Executive Director Alain Rey was appointed as Independent Non-Executive Director of Quantum Insurance Ltd on 21 November 2014. He was until recently the Chief Executive Officer of Compagnie de Mont Choisy Limitée Group of Companies. For 10 years, he served as the Senior Vice President and Chief Financial Officer at Novel Denim Holdings Ltd and later joined Barclays Bank Plc as Regional Corporate Director. Prior to that, he served as Program Manager in the Consumer Services Division at Citibank, Paris. Alain holds a BSc Economics from the London School of Economics and Political Science and is a member of the Institute of Chartered Accountants of England and Wales.

Executive Director, Member of Audit and Risk Management Committee and member of the Corporate Governance Nomination & Remuneration Committee

Dhiresh Jayantilal Shah, Non-Executive Director Dhiresh Shah joined Hertshten Group as Chief Finance Officer in May 2012 after a 23-year career at KPMG, where he advised clients on a wide range of issues that included strategic finance, global structuring, tax optimization, accounting, risk management, due diligence and acquisitions. Having advised Hertshten Group on a range of financial issues for years, he was very familiar with the Hertshten Group from the outset. Dhiresh holds a BSc in Management Science from the London School of Economics (1985). In 1988, he became a member of the Chartered Accountants in England and Wales, and he became a member of the Chartered Institute of Taxation in 1989.

Ron Hertshten joined Hertshten Group in August 2008.
Ron Hold a B.A. in Economics and Political Science from the University of Michigan, Ann Arbor, and a M.B.A. with a focus on Finance from Yale University School of Management.
Today Ron is part of the senior management team of Hertshten Group, and focuses on sourcing and managing investments, focusing on the real estate and technology sectors.

Devesh Bose Biltoo

Chief Operations Officer and Executive Director

Devesh Bose Biltoo, Chief Operations Officer and Executive Director. Devesh Biltoo is an Associate of the Chartered Insurance Institute of the United Kingdom. He also holds a BSc. degree in Economics and Mathematics from the University of the Witwatersrand. He has been working extensively in the insurance industry in Mauritius since 2001, particularly in the general insurance sector. Before joining Quantum Insurance Ltd in 2015 as Chief Operations Officer, Devesh successively worked for La Prudence Mauricienne Assurance Ltée as Senior Underwriter before being promoted to Technical Manager, General Insurance DepartmentUnderwriting following the merger with The Mauritius Union Co. Ltd.

Zaheer Ahmad Hassen Oaris

Executive Director

Zaheer Oaris, born in 1989, holds an MBA (Specialisation: Financial Services) from the University of Mauritius. Prior to joining Quantum Insurance in 2015 as Business Development Officer, Zaheer was a Financial Analyst within the Hertshten Group. In 2022, Zaheer has been promoted to Corporate Relationship Manager and is also an Executive Director of Quantum Insurance Ltd.
